ČBS organization manual

  1. ČBS goals and mission
    1. ČBS is a civil association of the corporations and natural persons active in the research, designing, realization, maintenance, and reconstruction of the concrete, masonry, and hybrid structures, as well as in manufacturing the materials and other items for these structures.
    2. ČBS is a specialized society of the Czech Union of Civil Engineers (ČSSI in Czech) pursuant to the Clause 3 of the ČSS I Statute. ČBS is the society set up in accordance with the Act No. 83/1990 Sb., on citizen associations
    3. ČBS is promoting the concrete, masonry, and hybrid structures.
    4. ČBS is supporting the increases in the technical level and quality of the concrete, masonry, and hybrid structures, pushing the new knowledge into practice.
    5. ČBS is enhancing the prestige of its members, supporting their wide knowledge, contacts, and mutual cooperation.
    6. ČSB is active in the fields of associations, agencies, education, publishing, specialized expert and other consultancy.
    7. ČBS is acting on behalf of its members in contacts with other specialized societies in the Czech Republic and abroad
    8. As a Czech national group, ČBS has a statutory membership in the International Federation for Structural Concrete fib and in the Association of European Concreting Societies ECSN.
  2. ČBS activities
    1. Association activities
      1. acting on behalf of the building experts’ and company’s interests in the field of the concrete, masonry, and hybrid structures
      2. membership management
      3. cooperation with the organizations active in the Czech building industry
      4. cooperation with the Czech Chamber of Authorized Engineers & Technicians (ČKAIT in Czech)
      5. appraisals of the major structures, student theses, and significant personalities
    2. Conference and exhibition activities
      1. arranging of the congresses, symposia, and conferences in the field of the concrete, masonry, and hybrid structures
      2. arranging of the exhibitions in the field of the concrete, masonry, and hybrid structures
    3. Educational and training activities
      1. arranging of the workshops, training sessions and courses, lectures, educational visits/trips, etc.
      2. specialized trainings and educational activities for the building realization and engineering personnel
      3. arranging of the specialized educational visits/trips
      4. distribution of the working materials from the fib commissions and working groups and the materials from other foreign professional societies
    4. Publishing activities
      1. participation in publishing the BETON – T.K.S. Magazine
      2. preparation of the publications aimed to improve the technical level and quality of the concrete, masonry, and hybrid structures
    5. Specialized expert, consulting, and guaranteeing activities
      1. research activities
      2. management of the database of experts and companies active in the same field as ČBS
      3. preparation of the expert studies to the major problems in the field of the concrete, masonry, and hybrid structures
    6. International activities
      1. acting on the Czech Republic’s behalf in the international organizations (fib, ECSN)
      2. recommendation of the society members into the international societies’ commissions and working groups
      3. support and coordination of the society members’ activities in the international organizations
      4. cooperation with the foreign societies active in the field of the concrete, masonry, and hybrid structures
    7. Non-commercial activities, mainly those under 2.1, 2.5, and 2.6, are carried out directly by ČBS through its bodies, functionaries, and secretariat of ČBS.
    8. Based on its activities within the ČBS Servis s.r.o. agency, ČBS has its share in the commercial activities, mainly those under 2.2 thru 2.4.
  3. Organization chart
    1. As specified hereby, the ČBS organization chart is in compliance with the ČSSI Statute, being closely related thereto.
    2. The ČBS highest authority is the meeting of its members.
    3. The ČBS activities between the member meetings are coordinated by the committee.
    4. Between the committee meetings, the ČBS activities are coordinated by the ČBS executive board.
    5. The talks of the committee, executive board and the activities of ČBS between the respective meetings are coordinated by the chairman in cooperation with the first deputy chairman who shall act on his behalf should the former be absent.
    6. Membership management and technical background of the activities are provided by the secretariat working under the executive director.
  4. ČBS authorities
    1. ČBS has the following authorities
      1. Member Meeting (MM)
      2. Committee (CMT))
      3. Executive Board (EB)
      4. Auditing Commission (AC)
  5. Member meeting
    1. The Member Meeting is performing the functions in accordance with the ČSSI Statute.
    2. The Member Meeting is being held at least once a year.
    3. The Member Meeting is being called up by the chairman together with the first deputy chairman, using the written invitation form mailed to all the collective and sponsoring members at least a month before the meeting is to be held and containing the scheduled agenda, scope of elections, voting, etc.. The date and time of the Member Meeting has further be announced in the Beton N- T.K.S. magazine for a wide knowledge of the individual members.
    4. The Member Meetings are being arranged by the Committee, coordinated by the chairman together with the first deputy chairman.
    5. At the Member Meetings, the voting rights belong only to collective members (corporations) and sponsoring members, who can exercise it through their representatives in ČBS (see 22.3), or though the persons authorized by these representatives in writing.
    6. The collective members (corporations) have the number of votes in accordance with the following key:
      1. 1 vote ....... in the category up to 5 and the category up to 25 employees
      2. 2 votes ...... in the category up to 150 employees, universities, non-profit organizations
      3. 3 votes ...... in the categories over 151 and over 501 employees
    7. The sponsoring collective members have the number of votes in accordance with their category, given itself by the number of their employees.
    8. The individual members (natural persons), student-members, and the members of honor have only an advisory vote.
    9. Depending on the nature of the voting topics, the voting at the Member Meeting can have either secret or public form. This is up to the decision made by the Member Meeting by voting.
    10. It is also among the powers of the Member Meeting to exclude the ČBS members, or to terminate the ČBS activities.
  6. Committee
    1. The Committee is exerting the responsibilities given by the ČSSI Statute.
    2. Other main assignments of the Committee:
      1. Fulfilling of the goals, aims, and strategies of the ČBS activities, set out by the Member Meeting
      2. to supervise the activities of the Executive Board and chairman
      3. to supervise the activities of the secretariat and executive director
      4. coordination and surveillance over the ČBS (ČR) representatives in the fib commissions
      5. supervision over the representation of the ČBS (ČR) in ECSN and ČBS involvement in the ECSN activities
      6. ČBS contacts and cooperation with the partner societies abroad
      7. contacts and cooperation with the bodies of ČSSI, ČKAIT, and other partner societies in the Czech Republic
      8. cooperation with the ČBS Servis, s.r.o. agency
      9. supervision over the administration of the specialized ČBS library
      10. organization of the contests for the excellent concrete, masonry, and hybrid structures, for an excellent student specialized thesis, and awarding of the ČBS prizes
      11. preparation of the individual contracts to cover the promotion or other services with the sponsoring members
    3. The Committee members are
      • chairman
      • first deputy chairman
      • deputy chairmen
      • committee chairman from the previous term
      • representatives of the specialized groups
      • chairman of the auditing commission
      • executive director
    4. The Committee Meetings are held at least four-times a year.
    5. The date of the next Committee Meeting has to be agreed on the previous Committee Meeting. The Committee Meetings are being called up by the chairman, or by the first deputy chairman, using the written invitation form with the scheduled agenda.
    6. The Committee is making its decisions in serious matters by voting. Every Committee Member has one vote; majority of the votes given by the present Committee Members shall decide. The chairman vote shall decide upon equity of votes.
    7. To resolve the particular matters or issues, the Committee cam nominate the special working groups of the Committee Members and other invited specialists.
    8. The term of all the ČBS Committee Members is 4 years long. The Committee Members are being elected by the Member Meeting and can be elected repeatedly without any limitations.
    9. In the periods between the Member Meetings the Committee has the right to co-opt not more than 4 Committee Members, provided the next Member Meeting approves them.
    10. The Committee is recommending and the Member Meeting then approving the ČNB members of honor from the ranks of the ČBS members and non-members, no matter whether from abroad.
    11. Committee Members are entitled to the reimbursement of the expenses incurred directly in connection with the Committee activities. In favor of its members, the Committee can approve the special remunerations under Clause 12 Point 12 of the ČSSI Statute.
  7. Executive board
    1. Executive Board's main assignments
      1. Fulfillment of the goals, aims, and strategies of the ČBS activities set out by the Member Meeting between the Committee Meetings
      2. to supervise the activities of the chairman, secretariat, and executive director
      3. coordination of the specialized groups’ activities
      4. solution to the current matters in connection with the ČBS activities
    2. The Executive Board Members are:
      • chairman
      • first deputy chairman
      • deputy chairmen
      • committee chairman from the previous term
      • chairman of the auditing commission
      • executive director
    3. The Executive Board Meetings are being held as necessary, subject to the approval by the chairman, or the first deputy chairman, who shall announce the agenda.
  8. Auditing Commission
    1. The Auditing Commission is performing the responsibilities given by the ČSSI Statute.
    2. The Auditing Commission is auditing the ČBS business activities and commercial relationships between ČBS and ČBS Servis, s.r.o.
    3. The Auditing Commission Chairman is being proposed by the chairman and approved by the Member Meeting for the 4-year term.
  9. Chairman
    1. Being the statutory representative of ČBS.
    2. Is managing the Committee and Executive Board activities in the periods between the Member Meetings.
    3. Is representing ČBS at home and abroad.
    4. Is representing ČBS at the ČSSI Presidium.
    5. Is discussing and consulting the ČBS activities with the sponsoring members’ representatives.
    6. Is appointing the executive director, making a manager contract with him/her.
    7. Having consulted the issue with the executive director, he/she is making the employment contracts with the ČBS employees.
    8. Is being elected by the Member Meeting for the 4-year term, not more times than for the two consecutive terms.
  10. First deputy chairman
    1. Is another statutory representative of ČBS next to its chairman.
    2. If the chairman is absent or ill fro a prolonged period of time, he/she is acting on his/her behalf.
    3. The first deputy chairman is being appointed by the chairman at the first session of the Committee, following the Member Meeting, where the Committee has been elected. The Committee shall conform him/her in this position. He/she can be elected on a repeated basis, without any limitations.
  11. Deputy chairmen
    1. ČBS is mainly performing its specialized activities through the following specialized groups, coordinated by their respective deputy chairmen:
      • ground surface works
      • bridges and engineering works
      • masonry and hybrid structures
      • technologies
      • stabilizations
      • prefabrication
    2. The elected representatives of the respective specialized group shall elect the deputy chairman from among themselves, each time at the first session of the Committee, following the Member Meeting. Every such deputy chairman can be elected repeatedly, without any limitations.
  12. Specialized group representatives
    1. Beside the other assignments entrusted him/her by the Committee, the specialized group representative is mainly involved in the activities of his specialized group.
  13. Executive director
    1. Working with the Chairman and obedient to his/her instructions, the executive director is organizing the ČBS activities between the sessions of the Committee and Executive Board.
    2. He/she is supervising the secretariat, being responsible for the activities of the ČBS employees working under him/her.
    3. He/she is discussing the matters with the third parties within the powers delegated by the Committee on the ČBS behalf.
    4. He/she is communicating with the ČBS Servis, s.r.o. agency and other external coworkers in the material matters.
    5. Chairman shall make the employment/management contract with him/her. He/she is being supervised by the Committee and Executive Board, between their chairman, and/or the first deputy chairman.
  14. ČBS activities in the regions
    1. The ČBS activities in the regions are being provided through the ČBS representatives, i.e. the contact persons from the regional branches.
    2. The ČBS representative is involved in the ČBS activities in the vital regions in the Czech Republic, mainly providing for the two-way communication of the specialized and association-related information and contacts between the Committee and the respective region.
    3. The ČBS representative is being appointed by the ČBS regional branch, prompted to do so by the ČBS Committee that shall also approve the appointment. A remuneration can be allocated by the Committee for the work.
  15. ČBS employees, secretariat
    1. In the organizational matters, the ČBS activities are being backed by the secretarial staff of ČBS. The number of these ČBS staff members, as well as the form of their employment shall meet the particular ČBS requirements.
    2. The ČBS staff members as well as the secretariat activities are under the control of the executive director.
  16. ČBS representatives in the fib commissions
    1. The ČBS-followed goal is to man all the ČNB-important fib commissions and their working teams with at least 1 representative of ČBS (ČR).
    2. The part of every representative in the fib commissions is being supported by ČBS via the reimbursement of the expenses at the rate as stipulated by the Committee for every individual year.
    3. Main assignments of the ČBS representatives in the fib commissions:
      1. active and exclusive representation of ČBS (ČR) in the fib commissions
      2. information transfer from the commission to the ČBS Committee and wide array of members:
        • article into the BETON – T.K.S. magazine on the commission discussions and outcomes at least once a year
        • preparation and handover of the materials to the secretariat into the library and for the distribution to all the members
      3. timely and complete handover of the accounting documents in connection with the traveling expenses to be reimbursed by the ČBS secretariat
  17. ČBS Servis, s. r. o., agency
    1. The ČBS–arranged and guaranteed activities, being commercial in their nature, shall be provided by the specialized agency, called ČBS Servis, s.r.o. They are mainly the conference, exhibition, educational, publishing, and mediation activities in the field of the concrete, masonry, and hybrid structures.
    2. The ČBS Servis, s.r.o. agency is an independent business company registered as the VAT payer, with the authorization to do the business activities in the fields stated under 17.1 in accordance with the Small Business Act.
    3. ČBS is an associate of ČBS Servis, s.r.o., having the 45% business share therein.
    4. ČBS is entitled to the pro rata part of the ČBS Servis, s.r.o. business results, as rooted in the deed of association.
    5. The Committee-authorized person shall act on the ČBS behalf during the business talks with ČBS Servis, s.r.o.
    6. The conditions upon which the cooperation will take place between ČBS and ČBS Servis, s.r.o. are subject to the decision by the ČBS Committee.
  18. Membership and related fees
    1. As rooted in the ČSSI Statute (Clause 2), the ČBS membership can have either of the following forms:
      1. collective membership (corporations)
      2. individual memberships (natural persons)
      3. student membership (natural persons, university students and graduates under the age of 25)
      4. sponsoring membership (corporations)
      5. membership of honor (natural persons)
    2. The collective members (corporations) shall take part in the proceedings of the annual meeting through their authorized representatives who also acts as a contact person in all the liaison with ČBS.
    3. The membership of honor shall arise via an appointment based on the appropriate candidate approval by the Member Meeting.
    4. Every new member shall be notified about his new ČBS membership in writing. The Membership ID Card is sent to him/her complete with his/her sequence number.
    5. A member can only be expelled from the ranks of ČBS for the two serious reasons:
      1. serious breaches of the ČSSI Statute and this ČBS Organization Manual
      2. if he/she failed to pay the yearly membership fee by June 30 of the next calendar year
        The expelling reasons shall be discussed by the Committee that will also submit the expelling proposal to the Member Meeting for its approval.
    6. For the amount of the membership fees in all the membership categories see the Annex 1.
  19. Collective membership
    1. The collective members (corporations) shall take part in the proceedings of the annual meeting through their authorized representatives who also acts as a contact person in all the liaison with ČBS.
    2. A collective member (corporation) shall pay the membership fee, depending on the total number of its employees. The level of the fees have to be proposed by the Committee and approved by the Member Meeting each time for the oncoming two years. The university departments and institutes as well as the non-profit organizations shall pay a special, reduced fee.
    3. Performances from the collective membership:
      1. number of the BETON – T.K.S. magazine printouts depending on the membership fee level (for the number see the Annex 1)
      2. discounts for the ČBS events for all the pre-registered staff members
      3. distribution of the technical materials from fib and ECSN
      4. possibility of the priority presentations upon the ČBS events
      5. possibility to use the ČBS library
      6. right to take part in the Member Meetings with the number of votes depending on the total staff strength
      7. right to information on the ČBS activities and the data in the ČBS information database
  20. Individual membership
    1. An individual member shall pay a reduce membership fee if aged over 70 (see Annex 1).
    2. Performances from the individual membership:
      1. 1 printout of the BETON – T.K.S. magazine
      2. discounts at the ČBS events
      3. possibility to use the ČBS library
      4. right to take part in the Member Meetings with an advisory vote
      5. právo účasti na členské schůzi s hlasem poradním
      6. right to information on the ČBS activities
  21. Strudent membership
    1. The performances in connection with the student membership are identical to those from the individual membership.
  22. Sponsoring membership
    1. The sponsoring membership related fees is being agreed individually. Its level is given as the sum of the corresponding collective member fee and of the additional increase of at least CZK 50,000.-
    2. The work contract specifying the promotional or other services to be provided by ČCBS to the sponsoring member is being made between the ČBS or ČBS-authorized business company and the sponsoring member.
    3. The minimum performances from the sponsoring membership:
      1. including all the advantages of the collective ČBS members (corporations), depending on their staff numeric strength
      2. logo presentation on the ČBS documents
      3. free publications released by ČBS in the number equal to the number of votes
      4. advertising discount upon the ČBS events and on the ČBS materials
  23. Membership of honor
    1. The membership of honor is free of charge.
    2. The performances from the membership of honor are identical to those from the individual membership. The member of honor will moreover pay no admittance at the ČBS conferences and workshops.
  24. Financial funds and business management
    1. As a specialized society of ČSSI, ČBS is an independent accounting unit, a non-profitable civil association
    2. In making its business, ČBS respects the comprehensive budget, being approved each time for the following year by the Member Meeting
    3. The ČBS financial funds mainly come from the following sources:
      1. membership fees from its members
      2. surrender of a part of the membership fees of the individual ČSSI members
      3. shares in the yields from the ČBS and ČBS Servis stock and activities
      4. contribution to the ČBS activities from the ČSSI funds
    4. The ČBS financial funds are mainly drawn to cover:
      1. the shares in the ČBS stock and activity costs
      2. surrender of a part of the membership fees of the individual ČSSI members
      3. membership fees in the super-national specialized societies (fib, ECSN, etc.)
      4. wages and remunerations to the ČBS staff members, or ČBS functionaries
      5. overhead of the secretariat management
      6. traveling and other expenses in connection with the ČBS representation in fib, ECSN, etc.
  25. Special provisions
    1. The ČSSI Statute applies to all the ČBS activities. This Organization Manual and some of its provisions are closely related thereto.

Annex to the ČBS Organization Manual

  • Level of membership fees in 2012
    1. Levels of the collective membership fees are as follows:

    2. A collective member is entitled to take 2 printouts of the every edition of the BETON – TKS magazine plus another printout of the magazine for every CZK 15,000.- paid yearly on the membership fees (even when started only).
    3. The individual membership fee is CZK 1500.-
    4. The individual membership fee for the members aged over 70 is CZK 300.-
    5. The student membership fee is CZK 300.-
    6. Minimum increase in the sponsor membership fee (for a corporation) is CZK 50,000.-
